Introduction and Definitions
- 1.1 These Terms and Conditions ("Terms") govern the use of PR Bot ("Service" or "Platform") operated by StartupBros LLC d/b/a PR Bot ("Company," "we," or "us"), accessible at https://prbot.ai/.
- 1.2 "AI" refers to artificial intelligence systems that power the PR Bot platform to generate and send media outreach communications.
- 1.3 "User," "you," or "your" refers to any individual or entity accessing or using the Service.
- 1.4 "Profile Data" refers to information you provide about your expertise, experience, credentials, and preferences that is used to train our AI systems.
- 1.5 "Generated Content" refers to any communications, pitches, or responses created by our AI systems based on your Profile Data.
- 1.6 By using PR Bot, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use the Service.
- 1.7 The Company reserves the right to update or modify these Terms at any time. We will provide reasonable notice of any material changes via email or through the Service. Your continued use after such modifications constitutes acceptance of the updated Terms.

Content Ownership and Responsibility

4.1 Your Content and Profile Data: You retain ownership of all Profile Data you provide to the Service. By submitting Profile Data, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and process such data solely for the purpose of providing and improving the Service.

4.2 Representations and Warranties: You represent and warrant that:

You have all necessary rights, licenses, consents, and permissions to provide your Profile Data
Your Profile Data is accurate, complete, and not misleading
Your Profile Data does not infringe upon any third-party rights
You have the legal authority to permit the Service to act on your behalf in contacting journalists

4.3 AI-Generated Content: While we employ technologies designed to help Generated Content reflect your Profile Data, you acknowledge that:

You are ultimately responsible for all Generated Content created on your behalf
AI systems may occasionally produce content that does not perfectly align with your intentions
You should review Generated Content when possible and inform us of any inaccuracies

4.4 Content Veto Rights: We reserve the right to refuse to generate or send any content that:

We reasonably believe to be false, misleading, or unverifiable
Could create legal liability for you or the Company
Violates these Terms or our content policies
Contains hateful, discriminatory, obscene, or illegal content
Infringes on intellectual property rights

4.5 Agency Relationship: You acknowledge that when our AI systems send communications on your behalf:

You are establishing a limited agency relationship where PR Bot acts as your agent
PR Bot submits your expert responses to journalists through Featured.com (operated by Terkel Inc.), a third-party platform that connects experts with publishers. By using the Service, you authorize PR Bot to transmit your profile data and AI-generated pitch content to Featured.com for this purpose
Once submitted to Featured.com, your content is subject to Featured.com's own Terms of Service, which include a perpetual license to use published expert responses
You retain ultimate legal responsibility for the content of those communications
Recipients will be informed that communications are being sent through an automated system

Limitation of Liability

10.1 DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. THIS DISCLAIMER DOES NOT LIMIT THE CONDITIONAL REFUND COMMITMENT SET FORTH IN OUR REFUND POLICY.

10.2 AI-SPECIFIC DISCLAIMER: THE COMPANY DOES NOT WARRANT THAT THE AI SYSTEMS WILL ALWAYS GENERATE CONTENT THAT PERFECTLY REPRESENTS YOUR VIEWS, IS FREE FROM ERRORS, OR WILL RESULT IN SUCCESSFUL MEDIA PLACEMENTS.

10.3 INFORMATIONAL MATERIALS DISCLAIMER: DESCRIPTIONS OF OUR PROCESSES, WORKFLOWS, QUALITY MEASURES, AND OPERATIONAL PRACTICES CONTAINED ON OUR WEBSITE (INCLUDING BUT NOT LIMITED TO OUR AI TRANSPARENCY POLICY, MARKETING MATERIALS, DOCUMENTATION, AND BLOG CONTENT) ARE PROVIDED FOR INFORMATIONAL AND TRANSPARENCY PURPOSES ONLY. SUCH DESCRIPTIONS DO NOT CONSTITUTE WARRANTIES, GUARANTEES, OR PROMISES OF ANY PARTICULAR OUTCOME, STANDARD OF PERFORMANCE, OR LEVEL OF SERVICE. OUR PROCESSES AND PRACTICES ARE SUBJECT TO CHANGE WITHOUT NOTICE. IN THE EVENT OF ANY CONFLICT BETWEEN SUCH INFORMATIONAL MATERIALS AND THESE TERMS, THESE TERMS SHALL CONTROL.

10.4 LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES RELATING TO YOUR ACCESS TO OR USE OF THE SERVICE
DAMAGES RELATING TO ANY CONDUCT OR CONTENT OF ANY THIRD PARTY USING THE SERVICE
ANY CONTENT OBTAINED FROM OR THROUGH THE SERVICE
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR PROFILE DATA OR GENERATED CONTENT
ANY OTHER MATTER RELATING TO THE SERVICE

10.5 SPECIFIC DISCLAIMERS FOR MEDIA RELATIONS: You specifically acknowledge that the Company is not liable for:

Responses, actions, or editorial decisions made by journalists, publications, or media outlets
The content, timing, or presentation of any published media resulting from the Service
Any legal claims arising from Generated Content created and sent on your behalf
Reputation impacts resulting from media coverage or lack thereof

10.6 CAP ON LIABILITY: IN ANY CASE, THE COMPANY'S TOTAL LIABILITY UNDER THESE TERMS SHALL BE LIMITED TO THE GREATER OF $100 USD OR THE AMOUNT YOU HAVE PAID THE COMPANY IN THE PAST SIX MONTHS.

10.7 Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

Indemnification

11.1 Your Indemnification Obligations: You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, contractors, and agents from and against any and all third-party claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

Your Profile Data, including any misrepresentations of credentials, expertise, or qualifications
Your violation of these Terms or applicable law
Your modification of Generated Content after it has been made available to you for review
Your violation of any third-party rights, including intellectual property rights
Unauthorized access to the Service through your account credentials

11.2 Company Indemnification Obligations: The Company will defend, indemnify, and hold harmless you and your officers, directors, employees, and agents from and against third-party claims to the extent arising from:

Allegations that the Service itself (excluding your Profile Data and Generated Content derived from your Profile Data) infringes a valid United States patent, registered trademark, or registered copyright
The Company's gross negligence or willful misconduct in operating the Service

11.3 Exclusions from Company Indemnification: Section 11.2 does not apply to claims arising from:

Your Profile Data or Generated Content derived from your Profile Data
Your modification of Generated Content
Your use of the Service in violation of these Terms
Use of the Service in combination with products or services not provided by the Company
Your continued use of an allegedly infringing aspect of the Service after the Company provides notice and a commercially reasonable non-infringing alternative

11.4 AI-Generated Content: You acknowledge that Generated Content is created by AI systems based on your Profile Data. For third-party claims arising from Generated Content that the Company's AI created and submitted on your behalf: (a) if the claim arises from inaccurate or misleading Profile Data you provided, your indemnification obligations under Section 11.1 apply; (b) if the claim arises from AI-introduced errors not attributable to your Profile Data, the Company's liability shall be governed by Section 10 (Limitation of Liability) and is not subject to indemnification under this Section 11.

11.5 Indemnification Procedures: The indemnified party must give prompt written notice of any claim (failure to provide timely notice does not relieve the indemnifying party's obligations except to the extent the indemnifying party is materially prejudiced). The indemnifying party shall have sole control of the defense and settlement of the claim. The indemnified party will provide reasonable cooperation at the indemnifying party's expense. The indemnifying party may not settle any claim that imposes obligations on, or requires admissions by, the indemnified party without the indemnified party's prior written consent.

11.6 Sole Remedy: This Section 11 states the indemnifying party's sole liability and the indemnified party's exclusive remedy for third-party claims covered herein.

11.7 Survival: The indemnification obligations in this Section survive termination or expiration of these Terms.

Governing Law and Dispute Resolution

12.1 These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

12.2 Mandatory Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted in Pinellas County, Florida, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

12.3 Delegation to Arbitrator: THE ARBITRATOR, AND NOT ANY FEDERAL, STATE, OR LOCAL COURT OR AGENCY, SHALL HAVE EXCLUSIVE AUTHORITY TO RESOLVE ANY DISPUTE RELATING TO THE INTERPRETATION, APPLICABILITY, ENFORCEABILITY, OR FORMATION OF THIS ARBITRATION AGREEMENT, INCLUDING BUT NOT LIMITED TO ANY CLAIM THAT ALL OR ANY PART OF THIS ARBITRATION AGREEMENT IS VOID OR VOIDABLE. THE ARBITRATOR SHALL ALSO HAVE EXCLUSIVE AUTHORITY TO RESOLVE ALL THRESHOLD ARBITRABILITY ISSUES, INCLUDING ISSUES RELATING TO WHETHER THESE TERMS ARE UNCONSCIONABLE OR ILLUSORY, AND ANY DEFENSE TO ARBITRATION, INCLUDING WAIVER, DELAY, LACHES, OR ESTOPPEL.

12.4 Class Action Waiver: Any proceedings to resolve disputes shall be conducted on an individual basis. Neither you nor the Company shall join or consolidate claims with those of any other party or participate in any class, collective, or representative proceeding.

12.5 Exceptions: Nothing in this section prevents either party from seeking injunctive or other equitable relief from the courts for matters related to data security, intellectual property, or unauthorized access to the Service.

12.6 Small Claims Court Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the jurisdictional limit of such court. If you initiate a small claims court action, it may be brought in your county of residence or in Pinellas County, Florida, at your election. Small claims court actions must be brought on an individual (non-class, non-representative) basis.

12.7 Arbitration Fees and Costs: Payment of all filing, case management, and arbitrator fees shall be governed by the AAA Consumer Arbitration Rules. For claims where the amount in controversy is $75,000 or less, the Company will pay all arbitration filing, administrative, and arbitrator fees beyond the initial consumer filing fee required by the AAA. If you prevail in the arbitration, or if the arbitrator finds that your claims were not frivolous, the Company will reimburse you for any filing fee you paid. Each party shall bear its own attorneys' fees, except where applicable law requires otherwise.

12.8 Time Limitation: To the maximum extent permitted by applicable law, and except for actions for nonpayment or breach of a party's intellectual property rights, any claim or cause of action arising out of or related to these Terms must be filed within one (1) year after the date on which the party asserting the claim first became aware, or reasonably should have become aware, of the facts giving rise to the claim. Where applicable law prohibits a limitation period shorter than the statutory default, the statutory period shall apply.

12.9 EU/EEA Consumer Rights: If you are a consumer residing in the European Union or European Economic Area, nothing in these Terms shall deprive you of the protection afforded by the mandatory provisions of the consumer protection law of your country of residence, including your right of withdrawal as provided by Directive 2011/83/EU. The choice of law and mandatory arbitration provisions in these Terms do not limit your right to bring proceedings in the courts of the EU Member State in which you are domiciled, as provided by Regulation (EU) No 1215/2012. In the event of any conflict between these Terms and the mandatory consumer protection laws of your jurisdiction, the mandatory laws shall prevail.

12.10 Right to Opt Out of Arbitration: You may opt out of the mandatory arbitration and class action waiver provisions in this Section 12 by sending written notice to legal@prbot.ai within thirty (30) days of the date you first accept these Terms (the "Opt-Out Deadline"). Your notice must include: (a) your full legal name; (b) the email address associated with your account; and (c) a clear, unequivocal statement that you wish to opt out of arbitration and the class action waiver (e.g., "I opt out of the arbitration clause in the PR Bot Terms of Service"). Notices may also be sent by mail to: StartupBros LLC, 100 1st Ave N, #2706, St. Petersburg, FL 33701, USA (postmarked within the 30-day period). If you validly opt out, neither party will be required to arbitrate disputes, and either party may bring claims in any court of competent jurisdiction as set forth in Section 12.1. Opting out of arbitration will not affect any other provision of these Terms nor constitute a breach or default. If you do not opt out within the Opt-Out Deadline, you shall be deemed to have consented to the arbitration and class action waiver provisions of this Section 12 and will not be permitted to opt out in the future, except as may be required by applicable law. This opt-out right applies only to the initial acceptance of these Terms; subsequent material modifications to the arbitration provisions will provide a new 30-day opt-out window.
