IMPORTANT NOTICE: These Terms of Service govern your use of PR Bot, an AI-powered media outreach platform. By using PR Bot, you agree to be legally bound by these terms. Please read them carefully as they affect your legal rights and remedies.

  1. Introduction and Definitions

    • 1.1 These Terms and Conditions ("Terms") govern the use of PR Bot ("Service" or "Platform") operated by PR BOT LTD. ("Company," "we," or "us"), accessible at https://prbot.ai/.
    • 1.2 "AI" refers to artificial intelligence systems that power the PR Bot platform to generate and send media outreach communications.
    • 1.3 "User," "you," or "your" refers to any individual or entity accessing or using the Service.
    • 1.4 "Profile Data" refers to information you provide about your expertise, experience, credentials, and preferences that is used to train our AI systems.
    • 1.5 "Generated Content" refers to any communications, pitches, or responses created by our AI systems based on your Profile Data.
    • 1.6 By using PR Bot, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use the Service.
    • 1.7 The Company reserves the right to update or modify these Terms at any time. We will provide reasonable notice of any material changes via email or through the Service. Your continued use after such modifications constitutes acceptance of the updated Terms.

  2. Account Registration and Security

    • 2.1 To access and use PR Bot, you must create an account and provide accurate, current, and complete information.
    • 2.2 You are solely responsible for:
      • Maintaining the confidentiality of your account credentials
      • All activities occurring under your account
      • Ensuring the accuracy of your Profile Data
      • Promptly notifying us of any unauthorized access or security breach
    • 2.3 We reserve the right to verify the accuracy of any credentials or qualifications you claim in your Profile Data and to reject or remove any information we reasonably believe to be false, misleading, or unverifiable.
    • 2.4 The Company reserves the right to suspend or terminate your account for any reason, including but not limited to:
      • Violation of these Terms
      • Provision of false or misleading information
      • Extended periods of inactivity
      • Use of the Service in a manner that creates legal liability
      • As required by law or regulation

  3. License and Restrictions

    • 3.1 The Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use PR Bot subject to these Terms and solely for legitimate business purposes.
    • 3.2 You expressly agree not to:
      • Reverse engineer or decompile any aspect of the Service
      • Use the Service to send unsolicited communications
      • Use the Service in connection with any illegal, fraudulent, or deceptive activities
      • Allow others to access the Service using your account credentials
      • Interfere with the proper functioning of the Service
      • Attempt to bypass any use limitations or security measures
      • Use the Service in a manner that imposes an unreasonable load on our infrastructure
    • 3.3 We reserve the right to monitor your use of the Service to ensure compliance with these Terms.

  4. Content Ownership and Responsibility

    • 4.1 Your Content and Profile Data: You retain ownership of all Profile Data you provide to the Service. By submitting Profile Data, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and process such data solely for the purpose of providing and improving the Service.
    • 4.2 Representations and Warranties: You represent and warrant that:
      • You have all necessary rights, licenses, consents, and permissions to provide your Profile Data
      • Your Profile Data is accurate, complete, and not misleading
      • Your Profile Data does not infringe upon any third-party rights
      • You have the legal authority to permit the Service to act on your behalf in contacting journalists
    • 4.3 AI-Generated Content: While we employ advanced technologies to ensure Generated Content accurately reflects your Profile Data, you acknowledge that:
      • You are ultimately responsible for all Generated Content created on your behalf
      • AI systems may occasionally produce content that does not perfectly align with your intentions
      • You should review Generated Content when possible and inform us of any inaccuracies
    • 4.4 Content Veto Rights: We reserve the right to refuse to generate or send any content that:
      • We reasonably believe to be false, misleading, or unverifiable
      • Could create legal liability for you or the Company
      • Violates these Terms or our content policies
      • Contains hateful, discriminatory, obscene, or illegal content
      • Infringes on intellectual property rights
    • 4.5 Agency Relationship: You acknowledge that when our AI systems send communications on your behalf:
      • You are establishing a limited agency relationship where PR Bot acts as your agent
      • You retain ultimate legal responsibility for the content of those communications
      • Recipients will be informed that communications are being sent through an automated system

  5. Subscription and Payment

    • 5.1 PR Bot offers subscription-based services. The pricing, payment terms, and features of each subscription tier are outlined on our pricing page.
    • 5.2 You agree to pay all fees associated with your subscription plan. All payments are processed securely through our payment processors.
    • 5.3 Subscriptions automatically renew unless canceled at least 7 days before the renewal date. You can cancel your subscription at any time through your account settings.
    • 5.4 The Company reserves the right to change subscription pricing with at least 30 days' notice before your next billing cycle.
    • 5.5 No refunds or credits will be provided for partial billing periods or unused services unless required by law or at our sole discretion.
    • 5.6 If payment cannot be processed, we may suspend or terminate your access to the Service after reasonable attempts to notify you.

  6. Prohibited Activities

    • 6.1 You agree not to use PR Bot to:
      • Distribute false, misleading, or deceptive information
      • Impersonate others without proper authorization
      • Claim credentials, qualifications, or expertise you do not possess
      • Create or distribute content that is defamatory, harassing, threatening, or abusive
      • Promote illegal activities, hate speech, or discrimination
      • Violate any third-party rights, including intellectual property rights
      • Attempt to gain unauthorized access to PR Bot systems or user accounts
      • Scrape, data-mine, or otherwise extract data from PR Bot without permission
      • Engage in any activity that could damage or overburden the Service
    • 6.2 You further agree not to manipulate your Profile Data to misrepresent your expertise for the purpose of responding to queries outside your legitimate areas of knowledge.
    • 6.3 Violation of these prohibitions may result in immediate termination of your account, potential legal action, and disclosure to law enforcement authorities when required by law.

  7. AI Usage and Limitations

    • 7.1 Nature of AI Systems: PR Bot uses artificial intelligence to generate responses to journalist queries based on your expert profile. You expressly acknowledge that:
      • AI systems have inherent limitations and may not perfectly represent your views in all circumstances
      • The quality and accuracy of AI responses depend on the completeness and accuracy of your Profile Data
      • AI systems may occasionally produce unexpected outputs despite our quality controls
    • 7.2 No Guaranteed Results: While we strive to create effective media outreach, we make no guarantees regarding:
      • The number or quality of media placements you will receive
      • Acceptance rates for pitches or responses
      • Response times from journalists or media outlets
      • The overall effectiveness of the Service for your specific business goals
    • 7.3 Relevance Matching: Our AI will only respond to journalist queries that match your specified areas of expertise based on our matching algorithms. You acknowledge that:
      • Our systems may not identify all potentially relevant opportunities
      • You may disagree with our system's assessment of relevance in some cases
      • Extremely high-volume users may be subject to rate limiting to ensure platform stability
    • 7.4 Journalist Disclosure: When our systems communicate with journalists on your behalf, they will include appropriate disclosures about the automated nature of the outreach while maintaining your personal brand integrity.

  8. Intellectual Property

    • 8.1 Company IP Rights: The Service, including all software, algorithms, user interfaces, trademarks, and content provided by the Company (excluding your Profile Data), is owned by the Company and protected by intellectual property laws.
    • 8.2 Limited License to Company IP: We grant you a limited license to use the Company IP solely as necessary to use the Service as permitted by these Terms. This license does not include the right to:
      • Modify, distribute, or create derivative works based on Company IP
      • Use Company IP for any commercial purpose not expressly authorized
      • Remove or alter any copyright, trademark, or other proprietary notices
    • 8.3 Feedback: If you provide us with feedback about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or restriction.

  9. Limitation of Liability

    • 9.1 DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
    • 9.2 AI-SPECIFIC DISCLAIMER: THE COMPANY DOES NOT WARRANT THAT THE AI SYSTEMS WILL ALWAYS GENERATE CONTENT THAT PERFECTLY REPRESENTS YOUR VIEWS, IS FREE FROM ERRORS, OR WILL RESULT IN SUCCESSFUL MEDIA PLACEMENTS.
    • 9.3 LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
      • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
      • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
      • DAMAGES RELATING TO YOUR ACCESS TO OR USE OF THE SERVICE
      • DAMAGES RELATING TO ANY CONDUCT OR CONTENT OF ANY THIRD PARTY USING THE SERVICE
      • ANY CONTENT OBTAINED FROM OR THROUGH THE SERVICE
      • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR PROFILE DATA OR GENERATED CONTENT
      • ANY OTHER MATTER RELATING TO THE SERVICE
    • 9.4 SPECIFIC DISCLAIMERS FOR MEDIA RELATIONS: You specifically acknowledge that the Company is not liable for:
      • Responses, actions, or editorial decisions made by journalists, publications, or media outlets
      • The content, timing, or presentation of any published media resulting from the Service
      • Any legal claims arising from Generated Content created and sent on your behalf
      • Reputation impacts resulting from media coverage or lack thereof
    • 9.5 CAP ON LIABILITY: IN ANY CASE, THE COMPANY'S TOTAL LIABILITY UNDER THESE TERMS SHALL BE LIMITED TO THE GREATER OF $100 USD OR THE AMOUNT YOU HAVE PAID THE COMPANY IN THE PAST SIX MONTHS.
    • 9.6 Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

  10. Indemnification

    • 10.1 You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
      • Your use of the Service
      • Your violation of these Terms
      • Your Profile Data, including any misrepresentations of credentials or expertise
      • Any Generated Content created based on your Profile Data
      • Your violation of any third-party rights, including intellectual property rights
      • Any claim that your Profile Data or resulting Generated Content caused damage to a third party
    • 10.2 This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.

  11. Governing Law and Dispute Resolution

    • 11.1 These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
    • 11.2 Mandatory Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in [Jurisdiction], and judgment on the arbitration award may be entered in any court having jurisdiction thereof.
    • 11.3 Class Action Waiver: Any proceedings to resolve disputes shall be conducted on an individual basis. Neither you nor the Company shall join or consolidate claims with those of any other party or participate in any class, collective, or representative proceeding.
    • 11.4 Exceptions: Nothing in this section prevents either party from seeking injunctive or other equitable relief from the courts for matters related to data security, intellectual property, or unauthorized access to the Service.
    • 11.5 Time Limitation: Any claim arising out of or related to these Terms must be filed within one (1) year after such claim arose, otherwise, the claim is permanently barred.

  12. Privacy Policy

    • 12.1 The Company's Privacy Policy, which is available at https://prbot.ai/privacy-policy, describes how we collect, use, and protect your personal information.
    • 12.2 By using PR Bot, you consent to the data practices described in the Privacy Policy.
    • 12.3 You acknowledge that the functioning of our AI systems requires the processing of your Profile Data.

  13. Acceptable Use Policy

    • 13.1 PR Bot's Services are subject to this Acceptable Use Policy to ensure fair and reasonable use of its resources among all Users.
    • 13.2 You agree not to use PR Bot to generate responses for areas outside your legitimate expertise or to misrepresent your credentials or qualifications.
    • 13.3 You will not attempt to circumvent the intended functionality of the Service, including through:
      • Creating multiple accounts to bypass usage limitations
      • Using automated scripts to interact with the Service
      • Manipulating your Profile Data to trick the AI matching system
      • Attempting to reverse-engineer the matching algorithms
    • 13.4 The Company monitors usage patterns and reserves the right to implement fair use limits on the number of journalist queries that can be responded to within a given time period, based on your subscription level.
    • 13.5 Should PR Bot determine, at its sole discretion, that a User is abusing the system or violating this Acceptable Use Policy, PR Bot reserves the right to throttle, limit, suspend or terminate the User's access to the Services, or take any other action deemed necessary to maintain the integrity and quality of the Services. PR Bot will endeavor to provide prior notice of such actions where reasonably practicable.

  14. Miscellaneous

    • 14.1 Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by the Company, constitute the entire agreement between you and the Company concerning the Service.
    • 14.2 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
    • 14.3 No Waiver: The failure of the Company to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
    • 14.4 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without the Company's prior written consent. The Company may assign these Terms without restriction.
    • 14.5 Force Majeure: The Company shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond the Company's reasonable control.
    • 14.6 Survival: All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
