You acknowledge that your use of the Service is also subject to the acceptable use policies of those providers, and the Company may refuse to generate content that would violate those upstream policies.
6. Platform Reputation and Journalist Relations
Why This Section Matters
PR Bot's effectiveness for all users depends on maintaining trust and credibility with journalists and Third-Party Platforms. Every user's conduct affects the Sender Reputation, which directly impacts the quality of service available to the entire user base.
6.1 Collective Reputation Obligation. You acknowledge that the Service's effectiveness depends on maintaining trust with Outreach Recipients and Third-Party Platforms. You agree to conduct yourself in a manner that preserves and enhances this collective reputation.
6.2 Third-Party Platform Standing. The Service submits content through Featured.com (operated by Terkel Inc.). You acknowledge that:
- Your conduct affects the Company's standing with Featured.com and, by extension, the quality of service available to all users
- The Company may restrict, suspend, or terminate your access if your usage patterns negatively impact the Company's relationship with Featured.com
- Content submitted through the Service is also subject to Featured.com's Terms of Service
- The Company may implement content quality thresholds, acceptance-rate monitoring, or other quality metrics to protect platform standing
6.3 Journalist Relationship Protection. You agree not to:
- Use information about Outreach Recipients obtained through the Service to contact them outside the Service's authorized channels
- Engage in conduct that would cause Outreach Recipients to distrust or blacklist communications from the Service
- Respond to queries in bad faith, with the intent to mislead or waste the time of Outreach Recipients
- Flood the system with low-quality, off-topic, or irrelevant pitches
- Harass, intimidate, or threaten any journalist or media professional
- Send communications to journalists who have expressed a desire not to receive further communications from you or from the Service
6.4 Quality Metrics and Thresholds. The Company monitors aggregate quality metrics including pitch acceptance rates, journalist complaint rates, and content quality scores. Users whose metrics consistently fall below platform-defined thresholds may be subject to reduced service levels, mandatory profile review, or account suspension.
7. Anti-Spam and Communications Compliance
7.1 CAN-SPAM Act Compliance (United States). Although the Service's primary communications channel is through Third-Party Platforms rather than direct email, you agree to comply with the CAN-SPAM Act (15 U.S.C. 7701 et seq.) to the extent applicable, including:
- Ensuring that your Profile Data does not contain false or misleading information
- Not using the Service in any manner that would cause any communication to constitute "spam" under applicable law
- Respecting all opt-out requests from Outreach Recipients
7.2 GDPR Communications Compliance (EU/EEA). If you are located in, or your Profile Data concerns individuals located in, the European Union or European Economic Area, you agree to:
- Ensure you have a lawful basis for any personal data included in your Profile Data
- Comply with data minimization principles
- Cooperate with the Company in responding to data subject access requests

- Engage in snowshoeing (distributing outreach across multiple accounts to dilute reputation signals)
- Attempt to circumvent spam filters, deliverability controls, or quality gates implemented by the Company or Third-Party Platforms
- Use the Service in any manner that causes the Company's accounts, domains, or IP addresses to be blacklisted or blocklisted by any third party
- Engage in any activity that degrades the Sender Reputation of the Company with Third-Party Platforms
7.4 Journalist Data Protection. You acknowledge that Outreach Recipients are data subjects under applicable data protection laws. You agree to:
- Respect all opt-out and unsubscribe requests from Outreach Recipients
- Not re-submit contact information for any journalist who has opted out of receiving communications through the Service
- Not upload personal data of third parties to the Service except as necessary for the intended media outreach purpose and with a valid legal basis under applicable law
- Cooperate with the Company in responding to data subject access requests or objections from Outreach Recipients
7.5 Additional Regional Laws. You are responsible for compliance with all anti-spam and electronic communications laws applicable in your jurisdiction, including but not limited to CASL (Canada), the ePrivacy Directive (EU), PECR (UK), the Spam Act 2003 (Australia), and any applicable U.S. state laws.
8. Fair Use and Rate Limits
8.1 Subscription-Based Limits. Your subscription plan defines the number of journalist queries you may respond to, the number of active profiles, and other usage parameters. These limits are enforced automatically and may not be circumvented.
8.2 Fair Use of Shared Resources. Even within your subscription limits, you agree not to:
- Consume a disproportionate share of platform resources relative to other users on the same plan tier
- Submit an unreasonable volume of profiles or pitches designed to overwhelm the matching system
- Use the Service in a manner that degrades performance for other users
8.3 Throttling and Rate Limiting. The Company reserves the right to implement rate limits, throttling, queuing, or other resource management measures to ensure equitable access to the Service for all users. The Company will endeavor to provide notice before implementing new limits that materially affect your subscription tier.
8.4 Burst and Abuse Detection. The Company employs automated monitoring systems to detect unusual usage patterns, including sudden spikes in activity, repetitive actions, or patterns consistent with automated (non-human) interaction. Accounts flagged by these systems may be temporarily throttled pending review.
9. Content Accuracy and Responsibility
9.1 Truthfulness and Substantiation. All information you provide to the Service, including credentials, expertise claims, professional affiliations, and biographical data, must be truthful, accurate, and substantiable. You understand that the Service uses this information to generate communications on your behalf, and that false or misleading profile information may cause the Service to produce communications that violate federal and state consumer protection laws, including Section 5 of the Federal Trade Commission Act (15 U.S.C. 45).
9.2 Content Accuracy Warranty. You represent and warrant that all information provided in your Profile Data is accurate, current, complete, and not misleading. This includes but is not limited to:
- Professional titles, credentials, and certifications
- Employment history and current affiliations
- Areas of expertise and domain knowledge
- Published works, media appearances, and professional accomplishments
- Business entity information (name, structure, jurisdiction)
9.3 Content Review Rights. The Company reserves the right to:
- Review any Profile Data or Generated Content before or after submission to Third-Party Platforms
- Refuse to generate or submit content that does not meet the Company's quality standards
- Remove, edit, or withhold content that violates this AUP, even after submission
- Implement automated quality scoring and content filtering systems
- Require users to verify specific credentials or claims before those claims are included in Generated Content
9.4 Third-Party Platform Content. Content submitted through the Service to Featured.com becomes subject to Featured.com's Terms of Service, which include a perpetual license to use published expert responses. You acknowledge that:
- Once submitted, content may not be fully retractable from Third-Party Platforms
- Third-Party Platforms may publish, distribute, or modify content according to their own policies
- The Company is not responsible for actions taken by Third-Party Platforms regarding your content
10. Affiliate Program Conduct
10.1 Promotional Standards. If you participate in the affiliate program, you must not:
- Make false or misleading claims about the Service's capabilities, pricing, or results
- Use spam, unsolicited messages, or deceptive advertising to promote the Service
- Impersonate the Company or create the impression of an official endorsement not authorized in writing
- Use the Company's trademarks in domain names, social media handles, or paid search keywords without written authorization
- Promote the Service in association with illegal, unethical, or harmful content
- Engage in cookie stuffing, click fraud, or other manipulative referral tactics
10.2 Affiliate AUP Enforcement. Violations of affiliate-specific provisions may result in termination of the affiliate relationship, forfeiture of unpaid commissions, and termination of your subscriber account, in addition to any other remedies available under the Affiliate Terms.
11. Enforcement and Remedies
11.1 Monitoring and Detection. The Company employs the following methods to detect AUP violations:
- Automated content analysis and quality scoring of Generated Content
- Monitoring of pitch acceptance and rejection rates and journalist feedback signals
- Review of usage patterns for anomalies consistent with abuse
- Periodic audit of Profile Data accuracy
- Investigation of reports submitted through the abuse reporting mechanism
- Third-party complaint monitoring from Featured.com and other platforms
11.2 Graduated Enforcement. Upon detection of a potential violation, the Company may take one or more of the following actions, at its sole discretion:
- (a) Notice. Written notification identifying the suspected violation and requesting corrective action within a specified timeframe (not less than 5 business days for first-time or minor violations).
- (b) Content Restriction. Temporary restriction on new pitch generation pending review or correction of Profile Data.
- (c) Throttling. Reduction in the rate or volume of pitches submitted on your behalf.
- (d) Suspension. Temporary suspension of account access. During suspension, your data will be preserved and accessible for export, but no new communications will be generated or sent on your behalf. You will be notified of the reason for suspension and given an opportunity to respond within 10 business days.
- (e) Termination. Permanent termination of your account for: (i) continued violation after a cure period; (ii) three or more separate violations within any 12-month period; (iii) any single violation involving fraud, illegality, or conduct that exposes the Company to material legal liability; or (iv) as otherwise required by law.
- (f) Legal Action. Referral to law enforcement or initiation of civil proceedings where appropriate.
11.3 Severity-Based Response. The Company generally applies the following framework, though it reserves the right to escalate at any time based on circumstances:
- Minor violations (first-time, unintentional, low harm): Notice with corrective action period
- Moderate violations (repeated minor violations, negligent misrepresentation): Content restriction or suspension
- Severe violations (intentional fraud, credential fabrication, illegal activity): Immediate suspension or termination without prior notice
- Critical violations (threats to platform integrity, security breaches, imminent harm to third parties): Immediate termination and potential legal action
11.4 Right to Immediate Action. Notwithstanding the graduated enforcement framework, the Company reserves the right to immediately suspend or terminate any account, without notice, if the Company reasonably believes that:
- The account poses an imminent risk to the integrity, security, or reputation of the Service
- The account is being used for illegal purposes
- Continued operation of the account would expose the Company, other users, or Outreach Recipients to material harm
- The account's activity threatens the Company's standing with Third-Party Platforms
11.5 Proportionality. The Company will exercise its enforcement rights in a manner proportionate to the nature and severity of the violation, taking into account: (a) whether the violation was intentional or inadvertent; (b) whether the violation was caused by information you provided or by an error in the AI system; (c) the impact on third parties including journalists and media outlets; (d) your history of compliance; and (e) whether you took prompt corrective action upon notice. Where a violation results primarily from an error in the AI system rather than from your input or conduct, the Company will not impose enforcement actions against you unless you were aware of the error and failed to report it.
11.6 Appeals. Users subject to enforcement actions other than immediate termination for critical violations may appeal by contacting legal@prbot.ai within 14 days of receiving notice of the action. Appeals will be reviewed by a designated team member not involved in the original enforcement decision. The Company will respond to appeals within 30 days.
11.7 Effect of Termination. Upon termination for AUP violations:
- All pending pitches will be withdrawn to the extent technically feasible
- Profile Data will be deleted in accordance with the Privacy Policy
- No refund will be issued for the remaining subscription period
- You may not create a new account without the Company's written consent
- Content already published by Third-Party Platforms may remain published subject to those platforms' own policies
11.8 EU Digital Services Act Compliance. Consistent with Regulation (EU) 2022/2065, the Company will provide a clear statement of reasons for any enforcement action, including identification of the specific provision violated and a description of the facts supporting the determination.

13. Indemnification
13.1 Without limiting the indemnification obligations set forth in Section 11 of the Terms of Service, you specifically agree to indemnify, defend, and hold harmless the Company from and against any claims, damages, fines, penalties, or expenses (including reasonable attorneys' fees) arising from or related to:
